This Agreement shall be construed and interpreted in accordance with the laws of the State of California, without regard to that state’s conflict of law principles.  Any proceeding relating to this Agreement or the subject matter hereof shall be brought only in federal or state court in the County of San Francisco, California, and each party hereby generally and unconditionally submits to and accepts the jurisdiction of such courts.
