11. Intellectual Property Ownership
Contractor grants Client rights to sell and distribute "Work Product" created or provided from prior works by the Contractor and or its Sub Contractors. This assignment is conditioned upon full payment of the compensation due Contractor under this Agreement and the failure to make such payment shall void any assignment and all such rights shall revert to Contractor. Contractor does not release complete ownership of entitlements on prior works or works not specifically outlined as domain knowledge or trade secret to the Client and its customers. The software product will contain portions of OSS, GPL, or LGPL licensed source code as well as prior work created by the Contractor. License addendum's for source code containing trade secret or domain knowledge will be provided upon request where applicable and sole ownership, rights to patent, copyright, and distribution shall be granted under the terms provided in the addendum.
